1. Agreement to Terms
By accessing our website and utilizing the consulting, assessment, and training services provided by ApexQ Tech ("the Company", "we", "us"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the website or use our services.
These terms apply to all visitors, clients, training participants, and others who access or use our services.
2. Service Descriptions and Scope
ApexQ Tech provides specialized process improvement consulting, capability assessments, and corporate training related to industry standards such as Automotive SPICE (ASPICE), CMMI, and ISO frameworks.
While we employ expert consultants and assessors, our guidance and advisory services do not constitute legal advice. The successful implementation and certification of any framework ultimately depend on the client’s internal execution, organizational commitment, and operational adherence.
3. Intellectual Property Rights
The website and its original content, features, and functionality are and will remain the exclusive property of ApexQ Tech and its licensors. Furthermore, all training materials, assessment templates, proprietary methodologies, and documentation provided during our engagements are strictly protected by copyright and intellectual property laws.
- Clients and trainees are granted a limited, non-exclusive, non-transferable license to use the materials solely for internal organizational improvement or personal educational purposes.
- Redistribution, resale, reverse engineering, or public dissemination of our proprietary frameworks or training content without explicit written consent is strictly prohibited and constitutes a material breach of this agreement.
4. Confidentiality and Non-Disclosure
We recognize the highly sensitive nature of corporate process assessments and consulting. While specific consulting engagements will be governed by dedicated Non-Disclosure Agreements (NDAs), ApexQ Tech commits to maintaining the strictest confidentiality regarding all client proprietary information, intellectual property, and internal operational data disclosed during our service delivery.
5. Client Obligations
To ensure the successful delivery of our consulting and training services, clients agree to:
- Provide accurate, timely, and complete information regarding their current processes, organizational structures, and historical data.
- Ensure that necessary personnel are available for interviews, training sessions, and assessment appraisals as scheduled.
- Comply with all applicable local, national, and international laws while utilizing our services.
- Maintain a safe and cooperative environment for our consultants during onsite engagements.
6. Payment, Invoicing, and Cancellations
Fees for our services will be explicitly detailed in the respective Statement of Work (SOW), proposal, or training registration form. Unless otherwise agreed in writing, invoices are payable within 30 days of receipt.
For corporate training and scheduled assessments, cancellations or rescheduling requests must be made in writing at least 14 days prior to the start date. Cancellations made within 14 days may be subject to a cancellation fee as outlined in your specific contract.
7. Disclaimer of Warranties
Our services are provided on an "AS IS" and "AS AVAILABLE" basis. ApexQ Tech makes no representations or warranties of any kind, express or implied, regarding the operation of our services or the absolute outcome of external third-party audits.
We do not warrant that utilizing our services will automatically guarantee the award of a specific certification (e.g., an ISO certificate or ASPICE target level), as the final determination rests with the authorized certification body or lead assessor based on empirical evidence during the formal appraisal.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ApexQ Tech, nor its directors, employees, partners, agents, or suppliers, be liable for any indirect, incidental, special, consequential, or punitive damages.
This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of our services, or any conduct or content of any third party regarding the services. In any event, our maximum total liability shall be limited to the total amount paid by you to ApexQ Tech for the specific service giving rise to the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless ApexQ Tech and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of India, specifically the jurisdiction of the courts in Chennai, Tamil Nadu, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
